Inactive corporation (Regulation 20)

Note

Use this consent letter if the proposed corporate name may be confused with the name of a corporation that has not carried on business for more than 2 years. If the corporation is not dissolved and has not carried on business for more than 2 years, the inactive corporation must:

  1. Consent to the use of the name;
  2. UndertakeFootnote 1 to immediately dissolve or change its corporate name before the proposed corporate name is used.
  3. Confirm that the corporation has not carried on business for more than 2 years or, if it has been incorporated for less than 2 years, it has not carried on business since it was incorporated.

As the consent is being given by a corporation, the signature must be of an authorized officer and must give his/her title.
